1. Service Overview

What We Provide

Intelligence Club ("IC", "we", "us") operates an AI assistant platform that provides dedicated AI agents running on private cloud infrastructure. Our platform facilitates:

• Personal AI assistants accessible via Telegram
• Persistent memory and conversation history
• Integration with email, calendars, and web services
• Proactive monitoring and task automation
• Private, dedicated computing environments

How It Works

When you subscribe to our service:

1. We deploy a dedicated AI assistant on private cloud infrastructure
2. Your AI connects to Telegram for communication
3. Conversations and memories are stored privately on your instance
4. Your AI operates continuously, providing proactive assistance
5. You maintain full control over your AI's behavior and data

Service Architecture

Intelligence Club operates on a private-by-design model where:

• Each customer receives a dedicated AI instance
• Your data never mixes with other customers' data
• We coordinate infrastructure but cannot access your conversations
• All data storage and processing happens in isolated environments

2. User Accounts and Responsibilities

Account Creation

• You must provide accurate contact information
• You are responsible for maintaining account security
• You must be at least 18 years old or have parental consent
• One person or entity per account

Prohibited Uses

You may not use Intelligence Club for:

• Processing illegal, harmful, or copyrighted content without permission
• Generating content that violates applicable laws or regulations
• Creating deepfakes, non-consensual intimate images, or deceptive content
• Processing personal data of third parties without proper consent
• Attempting to reverse engineer, hack, or disrupt our services
• Activities that compete directly with Intelligence Club

Content Responsibility

• You retain ownership of all content you create or share with your AI
• You warrant that you have rights to process submitted content
• You are solely responsible for compliance with applicable privacy laws
• We may refuse service for content that violates these terms

3. Payment Terms

Pricing and Billing

• Services are billed monthly in advance
• Current pricing: $9-29/month depending on service tier
• Setup fees may apply to certain service tiers
• All prices are in USD and include applicable taxes
• Prices may change with 30 days notice

Refunds

• Full refunds available within 14 days of first payment
• Pro-rated refunds for service issues caused by us
• No refunds for voluntary cancellations after trial period
• Refunds processed within 5-10 business days

Payment Processing

• Payments processed by Stripe, Inc.
• Subject to Stripe's terms and conditions
• We do not store your payment information

4. Service Availability and Performance

Service Reliability

• We strive for high availability but cannot guarantee 100% uptime
• Response times depend on AI model performance and network conditions
• Services may be temporarily unavailable during maintenance
• We provide best-effort service level but no specific SLA guarantees

Quality Assurance

• We monitor service performance and address issues promptly
• AI responses quality depends on underlying AI models and prompts
• We provide best-effort service but cannot guarantee specific accuracy levels
• You should verify critical information independently

Service Changes

• We may modify, suspend, or discontinue services with reasonable notice
• Major changes will be announced 30 days in advance
• New features may be added without notice
• Service credits provided for significant service interruptions

5. Data Security and Privacy

Data Processing

• Your conversations and data are processed on dedicated infrastructure
• We cannot access your conversations or personal data
• All data transfers use industry-standard encryption
• Your AI's memory and files are stored securely and privately

Data Retention

• Conversation data retained until service cancellation
• Account information retained until account deletion
• Backups maintained for 30 days after cancellation
• Billing records retained as required by law

Data Ownership

• You own all data created or stored by your AI assistant
• You can export your data at any time
• We never use your data to train models or for other customers
• Your data is isolated from all other customers

6. Third-Party Integrations

API Keys and Access

• You may provide API keys for third-party services (Anthropic, etc.)
• These keys are encrypted and stored securely
• You are responsible for managing these credentials
• We are not liable for third-party service issues or costs

External Services

• Your AI may integrate with email, calendar, and other services
• You control which integrations to enable
• Third-party services are subject to their own terms and policies
• We facilitate integration but are not responsible for external service issues

7. Intellectual Property

Your Content

• You retain all rights to content you create or share
• You grant us limited license to process and store your data
• We do not claim ownership of your content or conversations
• AI-generated content ownership follows applicable copyright law

Our Platform

• Intelligence Club software and trademarks are our property
• Open source components licensed under their respective terms
• You may not copy, modify, or redistribute our platform
• Service access is subject to these terms and fair use policies

8. Limitation of Liability

Service Disclaimers

INTELLIGENCE CLUB IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Merchantability, fitness for a particular purpose, and non-infringement
• Uninterrupted or error-free operation
• Accuracy, completeness, or reliability of AI responses
• Security of data during processing

Liability Limits

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability is limited to the amount you paid in the last 12 months
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for data loss, business interruption, or lost profits
• These limitations apply even if we knew of the possibility of such damages

Indemnification

You agree to indemnify and hold us harmless from claims arising from:

• Your use of the services
• Content you create or share with your AI
• Violation of these terms or applicable laws
• Infringement of third-party rights

9. Dispute Resolution

Governing Law

• These terms are governed by the laws of the State of Hawaii
• Disputes subject to Hawaii state and federal court jurisdiction
• You consent to personal jurisdiction in Hawaii courts

Dispute Process

1. Contact us first to resolve disputes informally
2. Binding arbitration required for disputes over $500
3. Arbitration conducted under American Arbitration Association rules
4. Small claims court available for smaller disputes

Class Action Waiver

You waive the right to participate in class action lawsuits or class-wide arbitration against us.

10. Termination

Termination by You

• Cancel your subscription at any time from the account dashboard
• Service continues until the end of your billing period
• Your data will be available for export for 30 days
• After 30 days, all data is permanently deleted

Termination by Us

We may suspend or terminate accounts for:

• Violation of these terms
• Fraudulent or abusive behavior
• Extended periods of inactivity (12+ months)
• Legal or regulatory requirements

Effect of Termination

• Access to services immediately discontinued
• Refunds processed according to our refund policy
• Data export available for 30 days after termination
• Survival of payment obligations and liability limitations

11. Miscellaneous

Changes to Terms

• We may update these terms with reasonable notice
• Continued use constitutes acceptance of new terms
• Material changes require 30 days advance notice
• Previous versions available upon request

Severability

If any provision of these terms is invalid or unenforceable, the remaining provisions remain in full force and effect.

Entire Agreement

These terms constitute the entire agreement between you and Intelligence Club regarding the use of our services.
